TerrAssure Terms of Service
Last updated: November 27, 2025
These Terms of Service ("Terms") govern your access to and use of the platforms, tools, and services provided by TerrAssure Insurance Services ("TerrAssure", "we", "us", "our"), including the electronic issuance and delivery of insurance documents (collectively, the "Services").
These Terms are intended for licensed insurance brokers, MGAs, and other industry partners in Canada. By accessing or using the Services, you confirm that you:
- Are acting in a professional capacity as a licensed broker/representative; and
- Agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Services.
Important: These Terms are for general informational and commercial use and do not constitute legal advice. You should consult your own legal counsel to understand your obligations.
1. Who We Are
TerrAssure is a wholesale insurance brokerage that works with licensed insurance brokers and other intermediaries to place and manage insurance products with insurers. We do not transact directly with the general public.
Our role includes:
- Providing markets and facilities for brokers
- Assisting with underwriting, placement, and policy issuance
- Supporting claims-related communication where applicable
2. Applicability of These Terms
These Terms apply to your use of:
- Our websites and web portals
- Online submission and quoting tools
- Electronic policy issuance and document delivery systems
- Any other digital or electronic service we provide to you
Additional agreements (e.g., broker contracts, market agreements, NDAs) may apply to your relationship with us. If there is a conflict between these Terms and a signed written agreement, the written agreement will generally prevail for that specific relationship.
3. Eligibility & Broker Responsibilities
By using the Services, you represent and warrant that:
- You are properly licensed to act as an insurance broker/agent in the relevant jurisdiction(s);
- You are authorized by your firm to use the Services on its behalf;
- You will comply with all applicable laws, regulations, and regulatory guidelines, including those of your provincial regulator and any self-regulatory bodies.
You are responsible for:
- Ensuring that all information submitted to TerrAssure is accurate, complete, and up to date
- Obtaining and documenting all necessary consents from insureds and applicants
- Communicating accurately and promptly with your clients about coverage terms, conditions, and limitations
- Reviewing all quotes, binders, and policy documents issued via the Services for accuracy before relying on them
4. Use of the Services
You agree to use the Services only for lawful, professional, and insurance-related purposes. You must not:
- Attempt to gain unauthorized access to our systems, accounts, or data
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services to transmit malicious code, spam, or fraudulent information
- Misrepresent your relationship with TerrAssure or with any insured, insurer, or regulator
We may monitor usage for security, compliance, and service improvement and may suspend or restrict access if we suspect misuse, breach of these Terms, or security risks.
5. Accounts, Credentials & Security
You may be required to create an account or receive login credentials to access certain parts of the Services.
You agree to:
- Keep your login credentials confidential
- Not share your credentials with unauthorized users
- Notify us promptly of any suspected unauthorized access, misuse, or security incident involving your account
You are responsible for all activities that occur under your account unless caused by our negligence or misconduct.
6. Submissions, Quotes & Binding
6.1 Submissions
When you submit a risk or application via our Services, you confirm that:
- The information is, to the best of your knowledge, true, accurate, and not misleading
- You have disclosed all material facts required by the insurer and applicable law
- You are authorized by the insured/applicant to provide that information to us and to insurers
6.2 Quotes
Any quote generated or communicated via the Services:
- Is based on the information provided at the time of the quote
- Is not a guarantee of coverage and may be subject to change, correction, or withdrawal by the insurer
- May include conditions, subjectivities, or additional documentation requirements
Quotes do not bind TerrAssure or the insurer until explicitly bound in accordance with Section 6.3.
6.3 Binding & Policy Issuance
Coverage is not bound unless:
- A clear bind instruction has been given by you and accepted by TerrAssure/insurer; and
- All conditions precedent to binding coverage (e.g., subjectivities, signatures, payment arrangements if required) have been satisfied or expressly waived in writing.
We may issue policies, binders, endorsements, certificates, and other documents electronically via the Services. It is your responsibility to:
- Review all documents upon receipt
- Promptly notify us of any errors, omissions, or discrepancies
- Communicate the final terms and conditions accurately to your clients
7. Electronic Delivery, Transmission & Errors
7.1 Electronic Communications
You agree that:
- We may deliver quotes, binders, policies, endorsements, invoices, statements, and other communications electronically, including via email, secure portal, or other digital means;
- Such electronic communications may constitute legal notice or documentation to the extent permitted by law.
You are responsible for ensuring that:
- Your contact details (including email addresses) are correct and up to date
- Your systems (e.g., email filters, firewall settings) allow for delivery of our communications
- You regularly check the relevant inboxes and portals for new messages and documents
7.2 Errors in Transmission & Technical Issues
While we take reasonable steps to ensure accurate and timely electronic communication, you acknowledge that:
- Electronic transmission involves risks, including delays, interruptions, data corruption, interception, or loss
- Emails or documents may be filtered, quarantined, misrouted, or blocked by your or your firm's technology systems
Accordingly:
- TerrAssure is not liable for any loss, damage, or expense arising from errors, delays, non-delivery, or alterations in the content of an electronic transmission that are beyond our reasonable control, including issues caused by your systems, third-party networks, or internet service providers.
- You must promptly review all electronic communications and documents from us and immediately notify us of any discrepancies, missing documents, or suspected transmission errors.
- In the event of any inconsistency between an electronic version and the version held in TerrAssure's or the insurer's official system of record, the system-of-record version will generally prevail, subject to applicable law and regulatory requirements.
If you suspect an error or you do not receive expected documents within a reasonable time, contact us promptly so we can investigate and, if necessary, re-send or correct the documentation.
8. Information, Privacy & Data Protection
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.
By using the Services, you:
- Acknowledge that you have read and understood our Privacy Policy; and
- Confirm that you have obtained any required consents from insureds and applicants to share their personal information with us and with insurers, subject to applicable law.
You are responsible for ensuring that any personal or confidential information you submit is handled in compliance with all applicable privacy laws and your own firm's policies.

- Copy, modify, reverse engineer, resell, or redistribute the Services or their components
- Remove or alter any copyright, trademark, or proprietary notices
- Use TerrAssure's name, logo, or branding in a misleading or unauthorized manner
10. Disclaimers
To the fullest extent permitted by law:
- The Services are provided on an "as is" and "as available" basis.
- We do not warrant that the Services will be uninterrupted, error-free, or free from security vulnerabilities.
- Any tools, calculators, or indicative outputs provided through the Services are for guidance only and should not be relied upon as a substitute for professional judgment, underwriting guidelines, or policy wordings.
Coverage is always determined by the terms, conditions, limitations, and exclusions of the applicable insurance policy as issued by the insurer.
11. Limitation of Liability
To the extent permitted by applicable law:
- TerrAssure is not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of business, or loss of data, arising out of or in connection with the use or inability to use the Services, even if we have been advised of the possibility of such damages.
- TerrAssure's aggregate liability to you for any claims arising out of or relating to the Services or these Terms, whether in contract, tort, or otherwise, will be limited to the lesser of:
- The amounts paid (if any) by you to TerrAssure for the specific transaction giving rise to the claim, or
- A reasonable monetary cap as set out in any separate written agreement between us.
Nothing in these Terms limits liability where such limitation is not permitted under applicable law.
12. Indemnity

- Suspend or restrict your access to the Services; or
- Terminate your access to the Services
if we believe you have breached these Terms, misused the Services, or created a security or compliance risk.
You may stop using the Services at any time. Termination or suspension does not affect:
- Rights and obligations accrued up to the date of termination; or
- Any ongoing obligations under other agreements between you and TerrAssure.
14. Changes to the Services & Terms
We may update, enhance, or modify the Services from time to time. We may also update these Terms to:
- Reflect changes in our Services or business;
- Comply with legal or regulatory requirements; or
- Address security or operational needs.
When we make material changes, we will update the "Last updated" date at the top of these Terms and may provide additional notice (e.g., via our portal or email). Your continued use of the Services after any changes take effect constitutes your acceptance of the updated Terms.
